Designing a Holding Company
Building the Ownership Platform for Generational Wealth
Abisola Oladapo, CoreLoop Institute · SLW-002 · Published

Executive summary
Governance requires something to govern. This monograph treats the holding company not as a tax or liability device but as an ownership institution — a deliberate platform through which businesses, investments, property and future acquisitions are owned, capital moves, risk is separated and ownership transitions over time.

The problem with accidental ownership
Most wealth structures accumulate rather than get designed. A founder owns one business personally. The business buys a building. A second company is formed for a new opportunity. A property is acquired jointly. Intellectual property stays in the original operating company. New advisors enter at different stages and structure around the immediate problem in front of them.
Every individual decision may appear reasonable, yet the result is fragmented: ownership becomes difficult to understand, assets are exposed to risks unrelated to them, and capital becomes trapped in individual entities.
Ownership as architecture
Businesses create value — but ownership architecture determines how that value is controlled, protected and compounded. The monograph develops the Enterprise Ownership Model™ as its central framework, connecting ownership design to the family office established in Monograph I.
